  1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the website located at https://planckai.io and any related applications, software, APIs, and services provided by Planck Technologies Inc. (“Planck AI”, “we”, “us”, or “our”) (collectively, the “Service”).

By clicking “I Accept” or accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy(https://planckai.io/privacy-policy), which is incorporated by reference. If you do not agree, you must not use the Service.


If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms. In that case, “you” refers to that organization.


If you or your organization have a separate written agreement with Planck AI that governs your use of the Service (e.g., a Master Services Agreement or Order Form), that agreement will control in the event of conflict with these Terms.

  1. Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.


Except as provided in Section 14, any dispute arising from or relating to these Terms or the Service will be resolved by binding, individual arbitration and not in court.


By agreeing to these Terms:


  • You and Planck AI waive the right to a trial by jury

  • You and Planck AI waive the right to participate in any class action, class arbitration, or representative proceeding

  1. Service Overview

The Service provides automated software tools that may generate analyses, responses, or other outputs (“Suggestions”) based on your inputs.


Planck AI does not guarantee the accuracy, quality, correctness, legality, or suitability of Suggestions. You are solely responsible for reviewing and validating all generated output before use.


The Service does not provide legal, financial, tax, health, investment, or other regulated professional advice.

  1. Eligibility

You may use the Service only if:


  1. You are at least 18 years old (or the age of majority in your jurisdiction);

  2. You have not been previously suspended or removed from the Service; and

  3. Your use complies with all applicable laws.


If you are an entity, the individual accepting these Terms represents that they have legal authority to bind the entity.



We collect information through:


  • Direct interactions (registration, forms, inquiries)

  • Automatic website interactions (through cookies and standard logging)

  • Third-party analytics tools


No product usage telemetry is collected from customer-hosted environments, and we do not view or access customer datasets.

  1. Accounts and Security

To access certain Service features, you must register an account or authenticate using a supported identity provider (SSO).

You agree that:


  • All account information must be accurate and complete and kept updated

  • You are solely responsible for safeguarding account credentials

  • You are responsible for all activities under your account, authorized or not

Planck AI is not responsible for any losses relating to unauthorized access to your account.

  1. Fees and Payment Terms

 Pricing and Taxes

Some Service features require payment of fees. All fees are:


  • stated in U.S. Dollars (unless otherwise specified),

  • non-refundable (except as required by law), and

  • exclusive of applicable taxes (you are responsible for any such taxes).


Planck AI may modify pricing with prior notice via email or through the Service interface. Continued use following changes constitutes acceptance of updated pricing.

Subscription Services

If you enroll in a subscription plan:


  • Billing begins on the date you first subscribe (the “Subscription Billing Date”)

  • The subscription automatically renews for additional periods of equal length unless canceled prior to the renewal date


You authorize Planck AI (or its payment processor) to charge all applicable subscription fees and taxes until you cancel through your account or contact us at contact@planckai.io.

Payment Processing

Planck AI uses Stripe, Inc. to process online payments.


Your use of Stripe is subject to the Stripe Terms and Stripe Privacy Policy:

Planck AI does not control or assume responsibility for payment processing services.

Delinquent Accounts

Planck AI may suspend or terminate your access if your account has unpaid fees. You are responsible for all collection costs.

  1. Credits and Usage-Based Services

Credits

Certain features of the Service may operate on a prepaid credit basis. Credits are usage units that may be purchased and used to access or consume features, functionality, compute resources, artificial intelligence services, workflows, agents, integrations, or other services made available by Planck AI.

Purchase of Credits

Credits may be purchased through invoices, payment links, Stripe, or other payment methods approved by Planck AI. All credit purchases are governed by these Terms.


Credits become available for use once payment has been successfully processed and received by Planck AI.

Credit Consumption

Credits are consumed based on use of the Service, including but not limited to:


  • AI model inference and processing;

  • Agent execution and automation;

  • Workflow execution and orchestration;

  • Document, spreadsheet, and data processing;

  • Integrations and connector usage;

  • Compute, storage, and platform services; and

  • Any other functionality designated by Planck AI as credit-consuming.


All usage associated with your account will count toward credit consumption.

Usage Reporting

Planck AI may provide dashboards, reports, account views, or other tools that allow you to monitor credit balances and consumption. Such information is provided for convenience only and may be subject to reasonable delays or processing intervals.


You are responsible for monitoring your usage and maintaining sufficient credit balances for continued access to the Service.

Credit Pricing and Consumption Rates

Planck AI may modify credit pricing, introduce new credit-consuming services, or change credit consumption rates from time to time.


Any such changes will apply prospectively and will not affect credits already consumed. Planck AI will provide reasonable notice of material changes through the Service, by email, or through other appropriate means.

No Expiration While Account Remains Active

Credits do not expire while your account remains active and in good standing.


Unused credits will roll over and remain available for future use for as long as your account remains active and your access to the Service continues.

Non-Refundable Purchases

All credit purchases are final and non-refundable except where required by applicable law.


Credits are not redeemable for cash, monetary value, refunds, or any other form of compensation.

Account Closure and Credit Forfeiture

If your account is terminated, suspended, closed, cancelled, expires, or otherwise ceases to have access to the Service for any reason, all unused credits will be immediately forfeited.

Upon forfeiture, unused credits cannot be redeemed, refunded, restored, transferred, exchanged, or converted into cash or any other form of value.

Non-Transferability

Credits are personal to the account under which they were purchased and may not be sold, assigned, transferred, sublicensed, exchanged, pledged, gifted, or otherwise conveyed to any third party without Planck AI's prior written consent.

Credits have no cash value and do not constitute personal property, stored value, or a financial instrument.

Suspension and Service Availability

Planck AI may suspend access to credit-consuming features of the Service if your account has insufficient credits, outstanding payment obligations, or is otherwise in violation of these Terms.

Such suspension does not relieve you of any obligations incurred prior to suspension.

Enterprise Agreements

Where you have entered into a separate written agreement with Planck AI, including a Master Services Agreement, Order Form, or similar commercial agreement, the credit-related provisions of that agreement will control to the extent of any conflict with this Section.

  1. Licenses and Restrictions

Subject to compliance with these Terms, Planck AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service solely for your internal business purposes.


You may not, directly or indirectly:


  • reverse engineer, decompile, or modify the Service;

  • use the Service for benchmarking or to build competing services;

  • upload or transmit viruses, malware, or harmful code;

  • bypass security or access controls;

  • interfere with Service availability or operations;

  • remove proprietary notices from the Service; or

  • use the Service with data subject to enhanced regulatory protections (e.g., PHI under HIPAA, PCI cardholder data, etc.) unless expressly authorized in writing.


If applicable law prohibits your use, you must stop using the Service.

  1. Intellectual Property; Feedback; Suggestions

Ownership

Planck AI and its licensors own all rights in the Service, including all software, code, content, designs, and documentation.

No rights are granted except those expressly stated in these Terms.

Suggestions (AI Outputs)

Planck AI assigns to you any rights it may have in the specific Suggestions generated for your inputs. However:


  • Suggestions may contain errors or biases

  • Suggestions may be similar or identical to outputs generated for others

  • You have no rights to Suggestions provided to other users


You are solely responsible for verifying the accuracy, legality, and appropriateness of any Suggestions.

Feedback

If you provide any feedback or suggestions regarding the Service (“Feedback”), Planck AI may use it without restriction or obligation to you.

  1. Customer Data and Usage Data

Customer Data

“Customer Data” means any data, content, or materials that you upload or transmit to the Service.


You retain all rights in Customer Data. Planck AI will only use Customer Data:


  • to provide the Service; and

  • as otherwise permitted by our Privacy Policy or a separate written agreement.


Planck AI does not train its models on Customer Data unless you have expressly opted-in.


You are solely responsible for:


  • the legality and accuracy of Customer Data; and

  • ensuring that use of Customer Data complies with applicable laws.

Usage Data

Planck AI may generate and use de-identified or aggregated Usage Data to operate, improve, secure, and support the Service.


Usage Data does not include personal data or Customer Data in identifiable form.

  1. Third-Party Services

The Service may include integrations with third-party products or open-source components (“Third-Party Services”).


Use of Third-Party Services is governed by their own terms and policies.Planck AI does not guarantee availability or support of Third-Party Services.

  1. Term; Termination; Service Changes

Term

These Terms remain in effect until terminated.

Termination by Planck AI

Planck AI may:


  • suspend or terminate access to the Service, or

  • terminate these Terms,


at any time if we determine you have violated these Terms or applicable law, or if continued access poses risk.

Termination by You

You may stop using the Service at any time. Subscription cancellations take effect at the end of the then-current billing period.

Effect of Termination

Upon termination:


  • Your license to use the Service ends immediately

  • Your account and associated data may be deleted

  • You remain responsible for all fees incurred prior to termination


Sections 8.2, 9–11, 12.4, 13–17 survive termination.

Service Modifications

Planck AI may modify, suspend, or discontinue any part of the Service at any time without liability.

You are responsible for backing up any Customer Data.

Any unused credits will be treated in accordance with Section 7 (Credits and Usage-Based Services).

  1. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:


  • THE SERVICE AND ALL SUGGESTIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE”

  • PLANCK AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE

  • PLANCK AI DOES NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED OR THAT DATA WILL BE SECURE OR NOT LOST


No advice or information provided by the Service creates any warranty not expressly stated in these Terms.


You are solely responsible for use of the Service and reviewing the correctness and legality of all Suggestions.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:


  1. PLANCK AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

  2. THE TOTAL LIABILITY OF PLANCK AI FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

    • (a) AMOUNTS PAID BY YOU TO PLANCK AI IN THE 6 MONTHS BEFORE THE CLAIM AROSE; OR

    • (b) USD 200


Certain jurisdictions do not allow exclusions/limitations—those limitations apply only to the extent permitted by law.

  1. Dispute Resolution and Arbitration

You and Planck AI agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration, except:


  • Individual small claims court matters

  • Claims seeking injunctions or equitable relief for intellectual property or confidentiality violations


Arbitration will be administered by the American Arbitration Association (AAA) under applicable rules.


  • Seat of arbitration: Delaware, USA

  • Arbitrator decision is final and binding


Class Action Waiver:
All claims must be brought individually.
No class or representative actions are permitted.


Confidentiality:
All arbitration proceedings are confidential.

  1. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Planck AI and its affiliates, officers, employees, and agents from any claims, losses, liabilities, and expenses (including attorneys’ fees) arising from:


  • Your misuse of the Service

  • Your violation of these Terms or any law

  • Your infringement of any third-party rights

  • Any dispute between you and a third party


We may assume control of the defense and you will cooperate with us.

  1. Miscellaneous

Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement relating to the Service.


  • Assignment / Change of Control. You may not assign or transfer these Terms without Planck AI’s prior written consent. Planck AI may assign or transfer these Terms, including in connection with a merger, acquisition, corporate reorganization, sale of assets, or change of control, without your consent. Any successor or acquirer will be deemed substituted for Planck AI under these Terms, and your continued use of the Service after such event constitutes deemed acceptance.

  • Governing Law. These Terms are governed by the laws of the State of Delaware, except where pre-empted by U.S. federal law (including the FAA).

  • Severability. If any part of these Terms is held invalid, the remainder will remain enforceable.

  • Waiver. No waiver of any provision shall be deemed a waiver of any other provision.

  • Electronic Communications. Communications from us may be sent electronically and are considered legally sufficient.

  • Export Compliance. You may not use the Service in violation of U.S. export laws or in sanctioned countries.


International Use. Users outside the U.S. are responsible for compliance with local laws.
